1. About These Terms

These Terms of Service ("Terms") govern your use of SoftwareWale's services, including SchoolSuite (our school management platform) and custom software development, website, and mobile app development services.

By engaging our services, submitting a form on this website, signing a proposal, or making a payment, you agree to these Terms. Please read them carefully before proceeding.

2. Scope of Work

All projects begin with a written proposal ("Scope Document") that defines the agreed features, screens, and deliverables. Work begins only after the Scope Document is agreed upon and the advance payment is received.

The price quoted in the Scope Document is fixed for the agreed scope. If you request features or changes that fall outside the agreed scope after work has begun, we will provide a separate written quote for those additional items. No additional work will begin without your written approval of the new quote.

Changes to the scope may affect the delivery timeline. We will communicate any timeline impact in writing before proceeding.

3. Payment Terms

Custom development projects:

  • 50% advance payment is required to begin work
  • 50% balance payment is due on delivery, before final handover or go-live
  • For projects above ₹75,000, milestone-based payment schedules may be agreed upon in writing

SchoolSuite subscription:

  • One-time setup fee is due before setup begins
  • Monthly subscription fees are due at the start of each billing period
  • Failure to pay within 15 days of the due date may result in service suspension

Payment methods accepted: NEFT, IMPS, UPI, and bank transfer. An invoice will be issued for every payment. Taxes, if applicable, will be mentioned clearly in the final invoice.

4. Refund and Cancellation Policy

Custom development projects:

  • Advance payments are non-refundable once development work has begun
  • If the project is cancelled before any development work begins, the advance payment may be refunded after deducting any planning, design, or consultation costs incurred
  • If you are dissatisfied with delivered work, you may raise specific concerns in writing within 7 days of delivery. We will work to resolve genuine issues within the agreed scope at no additional charge

SchoolSuite subscription:

  • Monthly subscriptions may be cancelled with 30 days' written notice
  • The one-time setup fee is non-refundable once setup work has begun
  • Upon cancellation, your school's data will be available for export for 60 days. After this period, data may be permanently deleted
  • Partial month refunds are not provided

5. Delivery Timeline

Delivery timelines stated in proposals are estimates based on standard project scope. The 30-day delivery timeline, where quoted, applies to standard projects after all of the following conditions are met:

  • Scope confirmation and advance payment received
  • All required content, logos, text, and references provided by the client
  • Timely approvals and feedback from the client at review milestones
  • Third-party accounts set up (e.g., Razorpay, Google Play Developer account) where required

The following are excluded from the delivery timeline and may cause delays beyond our control:

  • Client-side delays in providing content, approvals, or feedback
  • App store review delays (Google Play or Apple App Store reviews are conducted by the respective platforms and may take 3–14 days)
  • Third-party API or service delays (e.g., Razorpay onboarding, OTP gateway approval)
  • Major scope changes requested after development has begun

6. Bugs vs. New Features

Bugs are defects in functionality that was explicitly agreed upon in the Scope Document. Bugs are fixed at no additional charge during the active support period.

New features are any additions, enhancements, or changes not described in the original Scope Document. New features are quoted and billed separately.

If there is a disagreement about whether something is a bug or a new feature, we will assess it fairly and communicate our reasoning in writing.

7. Support Period

Every project includes a defined post-delivery support period (typically 3–12 months, as specified in the proposal). During this period:

  • Bugs within the agreed scope are fixed at no additional charge
  • Support is provided via WhatsApp on working days (Mon–Sat, 9AM–7PM IST)
  • Response time target: within a few hours on working days

After the support period ends, continued support and maintenance may be available at a separate monthly rate.

8. Third-Party Costs Not Included

The following costs are not included in our quoted prices and are the client's responsibility:

  • Google Play Developer Account: ₹2,500 one-time fee (required for publishing Android apps). The client sets up this account; we guide the process.
  • Razorpay / payment gateway transaction fees: Typically 1.5–2% per transaction, charged by Razorpay directly to your bank account
  • SMS / OTP charges: If an SMS OTP gateway is required, gateway charges are billed separately
  • WhatsApp Business API charges: If WhatsApp Business API integration is required (separate from the WhatsApp link/chat button we include as standard)
  • Domain name registration: If a custom domain is required and not already owned by the client

We will inform you of any applicable third-party costs before project commencement.

9. Intellectual Property and Source Code

Upon receipt of full payment for a custom development project, the client owns the delivered software product, including its design and functionality.

For SchoolSuite subscribers, the platform software remains the intellectual property of SoftwareWale. The subscriber is granted a licence to use SchoolSuite for the duration of their active subscription. The licence terminates upon subscription cancellation.

SoftwareWale retains the right to reuse generic technical components, libraries, and non-client-specific code in other projects.

10. Data Migration

Where data migration from another system is included in the scope, we will make reasonable efforts to import available data accurately. However, migration completeness depends on the format, quality, and accessibility of data from the existing system. We cannot guarantee complete migration from systems that do not support data export or that provide data in formats that cannot be reliably parsed.

11. Client Responsibilities

The client agrees to:

  • Provide accurate content, logos, and information required for the project in a timely manner
  • Designate a single point of contact for approvals and feedback
  • Provide feedback at review milestones within the agreed response window (typically 3 working days)
  • Ensure any data provided for migration is legally owned or authorised for use
  • Set up any required third-party accounts (e.g., Razorpay, Google Play) promptly

12. Limitation of Liability

SoftwareWale's liability for any claim arising from the provision of services shall not exceed the total amount paid by the client for the specific project or subscription period in which the issue arose.

We are not liable for: loss of business, loss of revenue, loss of data caused by client action, downtime of third-party services (hosting platforms, payment gateways, app stores), or damages arising from events outside our control.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

14. Changes to These Terms

We may update these Terms from time to time. Active clients and SchoolSuite subscribers will be notified of material changes via email. Continued use of our services after the effective date of updated Terms constitutes acceptance.
